3.2 Trading Strategy Development

• • Strategy Design: Creating appropriate and effective trading strategies
• • Thorough Testing: Adequately testing strategies before live deployment
• • Risk Management: Implementing proper risk controls and position sizing
• • Market Understanding: Understanding the markets and instruments you trade
• • Legal Compliance: Ensuring your trading activities comply with applicable laws

3.3 Prohibited Uses

You agree not to use the Service to:

• • Violate any applicable laws or regulations
• • Interfere with or disrupt the Service or servers
• • Attempt to gain unauthorized access to other accounts or systems
• • Use the Service for any unlawful or fraudulent activities

• • Resell or redistribute the Service without authorization

4. Limitation of Liability

4.1 Trading-Related Losses

We are NOT responsible for:

• • Trading Losses: Any financial losses from trading activities or strategy performance
• • Missed Opportunities: Failed trades, delayed executions, or missed market opportunities
• • Strategy Performance: Poor performance of user-created trading bots or strategies
• • Market Risk: Losses due to market volatility, gaps, or adverse market conditions
• • User Error: Mistakes in strategy configuration, bot setup, or trading decisions
• • Inadequate Testing: Losses from insufficiently tested strategies

4.2 Technical Issues

We are NOT responsible for:

• • Server Issues: Platform downtime, server failures, or maintenance periods
• • Broker API Problems: Third-party broker API failures, delays, or connectivity issues
• • Internet Connectivity: Network outages, internet service provider issues
• • Third-Party Services: Failures of payment processors, data providers, or other integrated services
• • Force Majeure: Events beyond our control including natural disasters, government actions, or market closures
• • Data Accuracy: Inaccuracies in market data, pricing information, or historical data

4.3 Maximum Liability

In no event shall AlgoTicker's total liability exceed the amount you paid for the Service in the 12 months preceding the claim. This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory.

AlgoTicker does not provide investment advice, trading recommendations, or financial counseling. All trading decisions are made solely by you based on your own analysis and risk tolerance.

We make no warranties or guarantees regarding:

7. Indemnification

You agree to indemnify, defend, and hold harmless AlgoTicker, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

8. Broker Integration and Third-Party Services

8.1 Broker API Relationships

AlgoTicker is a software tool that integrates with third-party brokers through their APIs to access real-time and historical market data. We do not have control over broker systems, and we are not responsible for:

• • Order execution delays or failures
• • Broker fees, commissions, or charges
• • Changes to broker APIs or terms of service
• • Broker account issues or restrictions

8.2 API Security

While we implement security measures for API credentials, you acknowledge that API integration involves inherent risks. You are responsible for monitoring your broker accounts and reporting any unauthorized activities.

9. Intellectual Property

9.1 Our Rights

AlgoTicker retains all rights to the platform, software, documentation, and related materials. You receive a limited, non-exclusive license to use the Service during your subscription.

9.2 Your Content

You retain rights to your trading strategies and custom configurations. However, you grant us a license to use aggregated, anonymized data for platform improvement and analytics.

10. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Subscription and Payment Terms

11.1 Fees

Subscription fees are charged in advance and are non-refundable except as specified in our Refund Policy. Fees may be changed with 30 days' notice.

11.2 Suspension

We may suspend or terminate your account for non-payment, Terms violations, or suspicious activities. Suspended accounts may lose access to trading bots and data.

12. Termination

12.1 By You

You may terminate your account at any time through your account dashboard. Termination is effective at the end of your current billing period.

12.2 By Us

We may terminate accounts that violate these Terms, engage in suspicious activities, or pose risks to other users or the platform.

12.3 Effect of Termination

Upon termination, your access to the Service ceases, and we may delete your account data after a reasonable period. Active trading bots will be stopped.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13.2 Dispute Resolution

Disputes shall be resolved through binding arbitration in Mumbai, India, except for claims related to intellectual property rights.

14. Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via email or platform notifications. Continued use after changes constitutes acceptance of new Terms.
